These Terms and Conditions, along with our Privacy Policy ("Terms"), constitute a binding agreement by and between GoBuzz Marketing, a partnership firm located at No. 35/1, Ranka Nest, KKS Road, Okalipuram, Bangalore, Karnataka, 560021, India ("Website Owner," "we," "us," "GoBuzz," or "our") and you ("you" or "your"). These Terms relate to your use of our website at www.gobuzzmarketing.com (the "Site"), goods, or services (collectively, "Services").

By using our Site and availing the Services, you agree that you have read, understood, and accepted these Terms (including the Privacy Policy). We reserve the right to modify these Terms at any time without assigning any reason. It is your responsibility to periodically review these Terms to stay informed of updates. Continued use after changes constitutes acceptance.

1. Description of Services

GoBuzz Marketing provides communication tools and solutions including Bulk SMS Platform & API, Voice API Integration, Intuitive Email Marketing, and WhatsApp for Business API. Services are delivered via web dashboards, API integrations, or managed services as specified in written proposals, statements of work (SOWs), or contracts ("Service Agreements"). Scope, deliverables, quotas, timelines, pricing, and service level agreements are detailed exclusively in Service Agreements, which incorporate these Terms by reference. We reserve the right to modify Service offerings at any time.

2. User Eligibility, Accounts, and Responsibilities

To access and use the Services, you agree to provide true, accurate, and complete information during and after registration. You shall be responsible for all acts done through your registered account.

• You must be at least 18 years of age and legally capable of entering contracts.
• Account creation requires accurate business information including DLT registration details for SMS services.
• You are solely responsible for maintaining account security, including API keys and passwords. Notify us immediately of any unauthorized use.
• Businesses using the Site on behalf of entities represent they have authority to bind that entity.

3. Acceptable Use of the Site and Services

Your use of our Services and the Site is solely at your own risk and discretion. You are required to independently assess and ensure that the Services meet your requirements.

You agree not to use the Site and/or Services for any purpose that is unlawful, illegal, or forbidden by these Terms or applicable Indian laws.

Permitted activities: Browsing content, submitting inquiries, accessing dashboards, API integration, campaign testing, support requests.

Prohibited activities:

• Uploading or transmitting viruses, malware, or harmful code.
• Sending spam, phishing messages, or unsolicited commercial communications.
• Content violating TRAI DLT regulations, TCPA, GDPR, CASL, or other anti-spam laws.
• Exceeding allocated quotas or abusing APIs.
• Interfering with platform functionality or other users.
• High-risk industries including gambling, adult content, or pharmaceuticals without prior approval.

You acknowledge that unauthorized use of the Site or Services may lead to action against you as per these Terms or applicable laws. Violations may result in immediate account suspension, message blocking, termination, and legal action.

4. Communication and Unsubscription

If you wish to obtain more details of our products and offerings, you may provide the following details on the 'Contact Us' form and we will get in touch with you. These details are name, email address, phone number and your company name along with your requirement. You represent, warrant and covenant that you shall provide us with accurate information. By accepting the Terms, you also accept to receive news, updates, offers/campaign related SMS, to the mobile phone number provided by you. By accessing and using the Platform and/or verifying your contact number with us, you explicitly consent to receive such communications (through call, SMS, email or other digital and electronic means) from us and/or our authorized representatives regarding any new services or offerings, even if your contact number is registered under the DND/NCPR list under the Telecom Commercial Communications Customer Preference Regulations, 2018.

You can unsubscribe/opt-out from receiving marketing/promotional communications, newsletters and other notifications from GoBuzz at any time by following the instructions set out in such communications.

5. Intellectual Property Rights

The contents of the Site and Services are proprietary to us and you will not have any authority to claim any intellectual property rights, title, or interest in its contents.

• All Site content, platform technology, APIs, dashboards, and trademarks are our exclusive property or licensed to us, protected under Indian copyright law (Copyright Act, 1957) and international treaties.
• Limited license: You may view Site content for personal reference and use Services per your Service Agreement.
• No reproduction, modification, distribution, reverse-engineering, or creating derivative works without prior written consent.

6. Client Data, Content, and Compliance

• Clients warrant that all uploaded materials (contact lists, message templates, sender IDs) are owned by them or they have necessary rights, and do not violate laws or third-party rights.
• All message content must include proper opt-in proof, opt-out mechanisms, and comply with TRAI DLT registration requirements, sender ID approvals, and template pre-registrations.
• We reserve the right to reject, modify, or block non-compliant content and report violations to regulatory authorities.

7. Fees, Payments, and Refunds

You agree to pay us the charges associated with availing the Services. Upon initiating a transaction for availing the Services, you understand you are entering into a legally binding and enforceable contract with us.

• Fees structured as per-message rates, monthly subscriptions, prepaid credits, or custom enterprise pricing as specified in Service Agreements.
• Payments due in net 15 days via bank transfer, UPI, or approved payment gateways.
• Late payments incur 1.5% monthly interest plus collection costs. All fees exclude GST (18%).
• You shall be entitled to claim a refund if we are not able to provide the Service, per timelines in Service Agreements or our policies. Refund claims must be raised within stipulated time or you become ineligible.

8. Warranties, Disclaimers, and Limitation of Liability

Neither we nor any third parties provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness, or suitability of the information and materials offered through the Services for any specific purpose. You acknowledge that such information may contain inaccuracies or errors and we expressly exclude liability for any such inaccuracies to the fullest extent permitted by law.

• Services provided "AS IS" except stated SLAs. No guarantees of delivery to final device.
• No liability for carrier filtering, DND blocks, delivery failures beyond our control, or third-party platform downtime.
• Liability capped at fees paid in preceding 12 months. No consequential damages.

9. Third Party Links

You agree and acknowledge that the Site and Services may contain links to other third party websites. On accessing these links, you will be governed by the terms of use, privacy policy, and other policies of such third party websites.

10. Termination and Suspension

• Immediate suspension for compliance violations, non-payment, or abuse.
• Either party may terminate for material breach with 30 days' notice if uncured.

11. Force Majeure

Notwithstanding anything contained in these Terms, neither party shall be liable for any failure to perform an obligation if performance is prevented or delayed by a force majeure event (carrier outages, regulatory changes, natural disasters, cyberattacks).

12. Governing Law and Dispute Resolution

These Terms and any dispute or claim relating to it shall be governed by and construed in accordance with the laws of India. All disputes shall be subject to the exclusive jurisdiction of the courts in Bangalore North, Karnataka.
